01The agreement
These Terms are an agreement between you and AMM Ventures, LLC (“AMM Distro,” “we,” “us”). They cover ammdistro.com, the AMM Distro iOS and Android apps, our API, and every service we provide through them (together, the “Service”). By creating an account, joining a team, or submitting a release, you agree to these Terms and to our Privacy Policy.
Most artists and labels also sign a distribution agreement with us inside AMM Distro, and a release can carry its own release agreement or split agreement. If a signed agreement and these Terms disagree, the signed agreement applies to the releases and the people it covers. Everything it doesn't address is covered by these Terms.
If you use the Service on behalf of a label, company or other artist, you confirm you have authority to bind them, and “you” includes them.
02Who can use AMM Distro
You must be at least 18. If you are under 18, a parent or legal guardian must agree to these Terms and sign your distribution agreement with you; we ask for their signature during signing. You must give accurate information about yourself and keep it up to date.
You can't use the Service if you are barred from receiving payments under U.S. sanctions or export laws, or if we have previously closed your account for breaking these Terms.
03Your account and your team
You sign in with a single-use link sent to your email, or on a device you've already signed in on. Keep access to your email secure: anyone who can open your sign-in links can act as you. Tell us at team@ammdistro.com if you think someone else has accessed your account.
An account can have several members. Account admins can invite people, change their roles, and remove them. You are responsible for what the people you invite do in your account, including submitting releases, changing splits and requesting payouts. Labels that run artist accounts are responsible for their artists' use of the Service.
04What we do
Depending on your plan and agreement, the Service lets you:
- Prepare releases and deliver them to streaming services, download stores and social platforms (“stores”).
- Collect the revenue stores report for your releases, see it in statements, and pay it out to you and the people you split with.
- Register your recordings with content identification systems so uses of them on video and social platforms can be found and monetized.
- See streaming, audience and earnings analytics, build smart links and pre-saves, and use our marketing and AI tools.
We review every release before it is delivered. Stores make their own decisions about what they accept, how they display it and when it goes live; we can't guarantee a store will carry a release, feature it, or keep it up. Delivery dates we show are estimates.
05Your rights and the license you give us
You keep ownership of your music. We don't take ownership of any recording, composition, artwork, video or other material you upload (“your content”).
To provide the Service, you give us, for as long as your content is distributed through us, a worldwide license to:
- Reproduce, encode and deliver your content to stores, and authorize stores to sell, stream and make it available to their users under their own terms.
- Collect the money stores and platforms pay for your content, and keep our fees from it as set out in your plan or agreement.
- Register your content with content identification and rights-management systems, and act on matches on your behalf.
- Use your artist names, approved likenesses, artwork and short excerpts of your content to promote your releases and the Service.
This license is non-exclusive unless your signed agreement says otherwise. You may not deliver the same recording to the same store through another distributor while it is live through us, because stores treat that as a duplicate and may remove both copies.
After a release is taken down, the license ends once stores have removed it, except that stores may keep copies that users already bought or downloaded, and we keep the records we need for accounting, tax and disputes.
06What you promise about your content
For every release you submit, you confirm that:
- You own the recording, or you have every license and permission needed to distribute it, including from producers, featured artists and anyone else who performed on it.
- Every sample, beat, loop or interpolation is cleared, or comes from a library whose license allows commercial distribution.
- For a cover song, you have, or will get before release, the mechanical license the law requires where the store doesn't already provide one.
- The artwork, artist photos and video are yours or licensed to you.
- Credits, splits, songwriters, ISRCs and other metadata are accurate, and the artist names belong to you or to artists who authorized you.
- Your content doesn't infringe anyone's rights, isn't defamatory or unlawful, and follows store content rules.
If you used AI tools to make any part of a release, you must say so when you submit it. You may not upload recordings that imitate a real artist's voice or identity without their written permission, or that were generated from material you don't have rights to.
07Releases we won't deliver
We may decline, pause or take down a release, with or without notice, if it:
- Infringes or appears to infringe someone else's rights, or is the subject of a rights claim.
- Impersonates another artist, uses misleading artist names or titles, or is meant to be confused with another release.
- Is low-effort content made to collect royalties, such as silence, noise, very short tracks, near-duplicates of other releases, or mass-generated audio.
- Breaks a store's content rules or the law, or contains hateful, violent, sexually exploitative or other harmful material.
- Has incomplete or inaccurate metadata, or is missing a required agreement or signature.
We'll tell you why when we can, and what you can change to resubmit.
08Artificial streaming
You may not inflate streams, views, followers or saves, by any means: bots, scripts, stream farms, paid playlist placements that guarantee streams, looping devices, or services that promise any of these. This applies even if someone else did it on your behalf, such as a promoter you hired.
If a store or our own checks find artificial activity on your releases, we may:
- Withhold or cancel earnings from the affected releases, and recover amounts already paid to you for that activity.
- Pass on any penalty or fee a store charges us because of it.
- Take down the affected releases, or every release in the account if it happens again.
- Close your account.
Stores report artificial activity to us, often months later, and usually don't share their evidence. We'll share what we're given and consider anything you send us, but the store's decision on its own platform is final.
09Earnings, fees and splits
Stores pay us for your releases after the end of each reporting period, typically two to three months after the streams happen. When we receive a statement, we credit your share to your balance and show it in your statements.
- Fees. Your share is what stores pay us for your releases, minus the platform fee set in your plan or signed agreement, and minus any costs your agreement says can be recovered, such as advances or marketing spend.
- Splits. When you set up splits, we pay each collaborator their share of a release's earnings once they accept. You are responsible for the splits you enter matching your agreements with your collaborators.
- Corrections. Stores sometimes correct or reverse earlier payments. When that happens, we adjust your balance to match, which can reduce it below zero; future earnings then cover the difference.
- Currency. Balances are in U.S. dollars. Store payments in other currencies are converted at the rate we receive them at.
- Disputed earnings. If ownership of a release is disputed, or a store or rights holder raises a claim about it, we may hold that release's earnings until the dispute is resolved.
Please raise any question about a statement within 12 months of the date it was issued.
10Payouts and tax
You can be paid by PayPal or by bank transfer, where available in your country. Payouts are made on the schedule shown in AMM Distro, above the minimum shown there. The payment provider's own terms also apply, and they may charge fees or ask you to verify your identity.
- Before your first payout you must submit a valid tax form. We report payments to tax authorities where the law requires.
- We withhold tax where the law requires it, for example when a tax form is missing or a tax treaty doesn't apply.
- We may pause payouts on an account while we check for fraud, confirm who is entitled to a payment, or comply with a legal order.
- You must keep your payout details correct. We aren't responsible for payments sent to the details you gave us.
11Plans, renewals and refunds
Paid plans are billed in advance and renew automatically at the end of each billing period until you cancel. You can cancel at any time in Settings; you keep the plan's features until the end of the period you paid for. We'll tell you before a price change takes effect on your plan.
Fees already paid aren't refundable, except where the law requires a refund or we say otherwise in writing. If a payment fails, we may pause new deliveries and paid features until it's paid. Releases already in stores stay up while we try to resolve it, and we'll email you before taking any further step.
12Takedowns and changes to releases
You can ask to take down a release, or to change a live release, from its page in AMM Distro. Stores process these requests on their own schedules, usually within a few days to a few weeks, and some keep showing a release for a while after. Earnings for streams before the takedown are still paid when the stores report them.
Some changes, such as replacing the audio of a track, can't be made to a live release; these need a new release. We take down releases ourselves when these Terms or a store require it, or when your agreement ends.
13Copyright claims
If you believe something distributed through AMM Distro infringes your copyright, send a notice to team@ammdistro.com with: your contact details; the work you own; the release, track or link you're reporting; a statement that you believe in good faith the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you own or are authorized to act for the rights; and your signature.
We'll forward the notice to the account that submitted the release and may take the release down. If your release was removed by mistake, reply with a counter-notice and we'll restore it where the law allows. We close the accounts of people who repeatedly infringe.
14Stores and other services
Stores, social platforms and payment providers are separate companies with their own terms. We don't control them and aren't responsible for what they do, including how they pay, display, rank or remove releases. When you connect another service to AMM Distro, such as a social account, you also agree to that service's terms.
15Using the Service fairly
You agree not to:
- Access another person's account or data without permission, or share your account with people who aren't members of it.
- Interfere with the Service, probe it for vulnerabilities without our written permission, or overload it.
- Scrape the Service, or use the API beyond the limits and scopes your key allows.
- Use the Service to send spam, harass anyone, or break the law.
16Closing your account
You can stop using AMM Distro at any time and ask us to close your account. If you have a signed distribution agreement, its term and notice period apply to the releases it covers. When your account closes, we take down your releases unless you've arranged to move them elsewhere, and we pay out your remaining balance once stores have reported the final earnings, subject to the payout and tax rules above.
We may suspend or close an account that breaks these Terms or a signed agreement, that puts other people or the Service at risk, or that we're required to close by law. Where we can, we'll tell you first and give you a chance to fix the problem. Earnings that aren't connected to a violation remain payable.
Closing your account doesn't end obligations that already exist, such as amounts owed, the promises you made about your content, and signed agreements, which stay in force under their own terms. To have your personal data deleted as well, see Delete your data.
17Disclaimers
The Service is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, including that the Service will be uninterrupted or error-free, and any warranty of merchantability or fitness for a particular purpose. We don't promise any level of streams, placements, followers or earnings. Analytics are based on data stores and platforms provide and may be incomplete or revised.
18Limit of liability
To the extent the law allows, AMM Ventures, LLC and its team aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if we were told they were possible.
Our total liability for all claims relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. This doesn't limit our obligation to pay you earnings you are owed, or any liability the law doesn't allow us to limit.
19Your responsibility for claims
If someone brings a claim against us because of your content, your metadata or splits, your breach of these Terms, or artificial activity on your releases, you will cover our reasonable costs of dealing with it, including legal fees and amounts we have to pay. We'll tell you about the claim and let you take part in responding to it.
20Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. If you have a problem with us, email team@ammdistro.com first; we'll try to resolve it within 30 days.
If we can't, any dispute will be resolved by binding individual arbitration administered by JAMS under its streamlined rules, and not by a class or representative action. Either of us may bring an eligible claim in small claims court instead, and either of us may ask a court to stop infringement of intellectual property. You can opt out of arbitration by emailing us within 30 days of first accepting these Terms.
If you live in the European Union or the United Kingdom, nothing here takes away rights you have under the consumer laws of your country, including the right to bring a claim in your local courts.
21Changes to these Terms
We may update these Terms. If a change matters, we'll update the effective date above and email you at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new Terms. Changes don't alter a signed agreement unless both of us agree in writing.
22General
These Terms, your signed agreements and the policies they refer to are the whole agreement between us about the Service. If part of them can't be enforced, the rest still applies. If we don't enforce a part right away, we haven't given it up. You can't transfer these Terms without our consent; we may transfer them to a company that takes over the Service. Neither of us is responsible for delays caused by events outside our reasonable control.
